Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the SQM.AI website, applications, and services (collectively, the “Service”), operated by Malja Labs LLC (“SQM.AI,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Definitions

• “Service” — the SQM.AI website, web application, mobile application, and related tools and features.
• “Account” — your registered user account for the Service.
• “Subscription” — a paid plan (e.g., Solo, Pro, Business) billed on a recurring basis.
• “Billing Period” — the monthly or annual term you select, beginning on your signup or renewal date.
• “Your Content” — the information, documents, and data you submit to the Service.
• “AI Output” — text, drafts, or suggestions generated by the Service’s AI features.

1. The Service

SQM.AI is an AI-assisted operations platform for contractors that helps with tasks such as finding permits, drafting contracts, creating invoices, and tracking projects. The Service provides information and tools to assist you; it does not perform regulated professional services on your behalf.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us immediately of any unauthorized use.

3. Subscriptions, Trials & Billing

• Paid plans are billed in advance through our payment processor, Stripe, for the Billing Period you select (monthly or annual).
• Free trial. New accounts include 14 days of the Starter plan at no charge, with no payment method required. Because we do not collect card details to start a trial, it cannot and does not convert into a paid Subscription on its own: at the end of the 14 days, access pauses until you choose a plan. Your data is retained and is available again as soon as you subscribe.
• Auto-renewal. Subscriptions renew automatically for successive Billing Periods until cancelled. To avoid the next charge, cancel at least twenty-four (24) hours before the current Billing Period ends. Cancellation takes effect at the end of the then-current period, and you keep access until then.
• Refunds. Payments are non-refundable, and we do not provide refunds or credits for partial Billing Periods or unused time, except where required by law.
• Price changes. We may change prices with at least thirty (30) days’ advance notice sent by email or shown in-app. Changes take effect on your next renewal; continuing your Subscription after that date means you accept the new price.

4. Acceptable Use

You agree not to: (a) use the Service unlawfully or to infringe others’ rights; (b) attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service; (c) upload malicious code or misleading content; or (d) resell or misrepresent the Service. We may suspend accounts that violate these Terms.

5. Your Content & Data

You retain ownership of the information, documents, and data you submit (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to operate and improve the Service for you. You are responsible for having the rights to submit Your Content and for its accuracy.

6. AI-Generated Output

The Service uses artificial intelligence to generate responses, drafts, and suggestions. AI output may be inaccurate, incomplete, or outdated. You are responsible for reviewing and verifying all AI output before relying on or acting on it. Do not treat AI output as professional advice.

7. Permits, Codes & Legal Information — Not Advice

Permit requirements, fees, timelines, building codes, licensing thresholds, contract templates, and similar information are provided for general guidance only and may not reflect the current rules of your jurisdiction. SQM.AI is not a law firm and does not provide legal, tax, or professional advice, and does not submit permit applications on your behalf. Always confirm requirements, fees, and forms with the relevant building department or a qualified professional before proceeding. We are not responsible for decisions made based on information from the Service.

8. Third-Party Services

The Service integrates third-party providers (such as Supabase, Stripe, Anthropic, Resend, Google, and public open-data sources). Your use of those services may be subject to their terms, and we are not responsible for their acts or omissions.

9. Intellectual Property

The Service, including its software, design, and content (excluding Your Content), is owned by SQM.AI and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. All rights not expressly granted are reserved.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any information is accurate or complete.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SQM.AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold SQM.AI harmless from claims arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service and cancel your Subscription at any time. We may suspend or terminate your access if: (a) you materially breach these Terms; (b) a payment fails or is overdue; (c) your use poses a security, legal, or fraud risk; or (d) we are required to by law. Where the issue is not urgent and is capable of being fixed, we will make commercially reasonable efforts to notify you and give you an opportunity to cure before terminating.

Upon termination, your right to use the Service ends. We may delete Your Content after a retention period of thirty (30) days, during which you may request an export. The following sections survive termination: Definitions, Your Content & Data (license), AI-Generated Output, Permits/Codes/Legal Information — Not Advice, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

14. Changes

We may update the Service and these Terms from time to time. For changes that materially reduce your rights or the core features of your plan, we will give at least thirty (30) days’ notice by email or in-app before they take effect. Other changes are effective when posted here with an updated date. Continuing to use the Service after changes take effect means you accept them.

15. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws rules. Disputes will be resolved in the courts located in Fulton County, Georgia, unless otherwise required by law.
